Shareholder Derivative Action
When a company fails to act in respect of a wrong committed against it then it may be possible for shareholders to bring proceedings in the company's name.
The procedure is now largely governed by the Corporations Law as contained in Pt 2F.1A. Before proceedings can be commenced in the company's name there must usually be an application for leave.
